    Qualcomm Approaches Intel for Possible Takeover, Sources Say

    Qualcomm Pursues Intel Acquisition, Faces Regulatory Scrutiny

    Qualcomm recently initiated discussions with Intel about a potential acquisition, according to a source familiar with the matter. If successful, this deal could reshape the semiconductor industry, though it will likely face numerous challenges. Qualcomm CEO Cristiano Amon is directly involved in the talks, actively assessing various options, including a complete acquisition of Intel.

    Earlier reports indicated that Qualcomm had considered acquiring segments of Intel’s design business, with the PC design unit being of particular interest. However, Qualcomm’s exploration has now extended to Intel’s broader portfolio of businesses. Despite these discussions, no formal offer has been made yet, according to another source.

    Both companies have declined to comment, and while the talks are still in early stages, the approach comes at a difficult time for Intel. Once the most valuable chipmaker globally, Intel has seen its stock plummet nearly 60% this year. Intel’s shares saw a modest 3.3% rise following the news, while Qualcomm’s dropped 2.9%.

    A potential deal would trigger regulatory reviews in major markets such as the United States, Europe, and China. Qualcomm might need to divest certain parts of Intel’s business to gain approval from these authorities.

    While this takeover would mark the largest in the tech industry since Broadcom’s unsuccessful $142 billion bid for Qualcomm in 2018, questions remain about how Qualcomm, valued at $188 billion, would finance the acquisition. Intel currently has a market value of $122 billion, including its debt, while Qualcomm has around $13 billion in cash.

    The deal also raises questions about Qualcomm’s ability to manage Intel’s manufacturing business. Unlike Intel, Qualcomm doesn’t operate chip factories, relying instead on Taiwan Semiconductor Manufacturing Co (TSMC) and technology from Arm Holdings.

    Intel’s Struggles
    Intel, once dominant in chip manufacturing, has lost its lead to rivals like TSMC. Additionally, it has missed opportunities to capitalize on the growing demand for AI chips, a market that Nvidia and AMD now dominate. To counter this, Intel has refocused its strategy on AI processors and has entered the chip contract manufacturing business, known as a foundry.

    As part of its ongoing restructuring, Intel has paused factory construction projects in Poland and Germany and reduced its real estate holdings. It also recently struck a deal with Amazon Web Services to develop a custom networking chip.
